Terms & Conditions of Sale
Please review the terms and conditions governing all purchases and supply contracts with George Rye & Sons Ltd. These terms do not affect your statutory rights as a consumer.
Important Notice to Consumers
Nothing contained within these Terms & Conditions of Sale affects or restricts your statutory legal rights under UK consumer law.
1.1 These terms of business set out below cancel all previous issues.
1.2 These terms, as re-issued or revised by the Company from time to time, apply to all orders placed with the Company and are subject to acceptance by the Company. No qualification or condition contained in any order form or acknowledgement shall override these terms unless expressly agreed in writing by a Company Director.
1.3 “The Customer” means the person, firm, or company with whom a contract for the sale of goods is reached.
1.4 “The Company” means GEORGE RYE & SONS LTD (GRS).
2. Prices & Discounts
2.1 All prices for goods and prompt settlement discounts are subject to alteration. Orders received but not dispatched at the date of alteration may be executed at revised prices at the sole discretion of the Company.
2.2 All prices are subject to the appropriate amount of Value Added Tax (VAT), shown separately on invoices.
2.3 Where prompt settlement discounts are offered, VAT is calculated on the net invoice total after discount value. Discounts are only valid if full payment is received no later than the invoice due date.
3. Delivery & Risk
3.1 The Company will deliver ordered goods to the address specified by the Customer. Upon delivery to a person appearing to have authority to sign for them, risk and responsibility for the goods shall vest in the Customer.
3.2 Any dispatch date or delivery timeframe specified is an estimate only. The Company shall not be liable for any loss suffered by reason of failure to comply with estimated dates.
4. Claims & Discrepancies
4.1 Non-Delivery: If goods have not been received within 14 working days of invoice date, written notification must be made immediately to the Company.
4.2 Shortage, Pilfering, or Damage: External packaging must be examined in the presence of the Carrier. Shortages, tampering, or transit damage must be recorded on the delivery sheet and notified in writing within 24 hours to the Carrier and the Company at Lunar House, Cramlington.
4.3 Monthly statements sent to the Customer must be audited promptly; failure to notify disputed items constitutes acceptance of statement correctness.
5. Authorized Returns
5.1 The Company is under no obligation to accept returned goods without prior written consent.
5.2 The Company reserves the right to charge carriage costs on returned goods and requests that its nominated carrier collect authorized returns. Third-party carriage charges will not be reimbursed.
5.3 A restocking surcharge may be levied on non-faulty returned or refused goods.
6. Retention of Title (Property)
6.1 Legal and equitable title in goods remains with the Company until full payment for all outstanding balances has been received. Until title passes, goods must be stored separately and clearly marked as Company property.
6.2 The Customer's resale authority automatically terminates upon breach of terms, insolvency proceedings, or overdue accounts.
6.3 The Customer grants the Company irrevocable authority to enter premises to collect and remove unpaid goods.
7. Payments & Overdue Accounts
7.1 Payment of accounts is due by the date specified on submitted invoices. Remittances must be payable to George Rye & Sons Ltd (GRS).
7.2 The Company reserves the right at any time in its absolute discretion to demand immediate payment of any account.
7.3 Late payment interest may be charged on overdue invoices at a daily rate of 2.5% per annum above Barclays Bank PLC base rate from the due date until full settlement.
Data Protection & Credit Administration
George Rye & Sons Ltd may collect, use, and process personal data to administer accounts, assess creditworthiness, prevent crime, and comply with legal requirements. Data may be shared with credit reference agencies and authorized partners in accordance with UK data protection legislation.
